1. Agreement to Terms

By accessing or using the website shrivellejewellers.com or engaging in any business transaction with Shri Velle Jewellers ("the Company"), you agree to be bound by these Terms and Conditions. These terms apply to all B2B buyers, website visitors, and business partners.

2. Business Nature

Shri Velle Jewellers is a B2B jewelry manufacturer and exporter based in Mumbai, India. We primarily serve wholesale buyers, retailers, distributors and jewelry brands. All transactions are business-to-business (B2B) in nature unless otherwise specified in writing.

3. Orders and Acceptance

• All orders are subject to availability and written confirmation from our sales team.
• A proforma invoice (PI) must be accepted and the advance payment received before production begins.
• We reserve the right to decline any order at our discretion.
• Order modifications after production begins may incur additional charges.
• Minimum order quantities (MOQ) apply as specified in our catalog and pricing sheets.

4. Pricing

• All prices are quoted in USD unless otherwise agreed in writing.
• Pricing is based on design complexity, plating type, and order volume. Wholesale discounts apply to bulk orders.
• Our prices for artificial jewelry are stable and do not fluctuate daily, providing better margin predictability for retailers.
• Final invoice value may vary slightly from PI if custom modifications are requested during production.

5. Payment Terms

• Standard terms: 50% advance + 50% before shipment (new buyers).
• Payments via Bank Wire Transfer (T/T), Letter of Credit (LC) or Western Union.
• Orders go into production only after the advance payment is received and cleared.
• Bank charges, SWIFT fees and transfer costs are the buyer's responsibility.
• Delayed payment may result in order cancellation or additional storage charges.

6. Shipping and Risk

• Risk of loss or damage transfers to the buyer upon handover to the shipping carrier.
• All shipments are insured; claim procedures must be followed within 48 hours of receipt.
• Import duties, customs duties, VAT and local taxes are the buyer's responsibility.
• Shipping timelines are estimates and not guaranteed due to customs or carrier delays.

7. Quality and Inspection

• We provide photos/video of finished goods before shipment for quality approval.
• Buyers are encouraged to inspect goods upon receipt and report issues within 48 hours.
• Goods accepted and customs cleared are considered final and non-returnable except for manufacturing defects.
• Weight tolerance of ±5% is standard in jewelry manufacturing and accepted industry-wide.

8. Intellectual Property

• All designs created by Shri Velle Jewellers remain our intellectual property unless explicitly transferred in writing.
• Custom OEM designs for clients are kept confidential and not sold to competitors.
• Website content, images and brand assets are protected by copyright.

9. Confidentiality

Both parties agree to keep confidential pricing, design files, client information and business terms shared during the course of the business relationship.

10. Limitation of Liability

Shri Velle Jewellers shall not be liable for indirect, incidental, or consequential damages including loss of profits, business interruption, or loss of data arising from our products or services. Our maximum liability is limited to the invoice value of the specific order in dispute.

11. Force Majeure

We shall not be liable for delays or failures due to circumstances beyond our control including natural disasters, government orders, strikes, pandemics, or supply chain disruptions. We will notify buyers promptly of such events.

12. Governing Law

These Terms are governed by Indian law. All disputes shall be subject to the exclusive jurisdiction of courts in Faridabad, Haryana, India. International buyers agree to submit to this jurisdiction.
